Official Rules

The Victory Formation Program ("Program") is subject to these terms and conditions ("Terms and Conditions") and all applicable federal, state and local laws. Participation in this Program constitutes your acceptance of these Terms and Conditions.

ELIGIBILITY

The Program is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age or older. To participate, you must have the Victory+ app (the "App") or be willing to download it, and a free Victory+ account. Employees, officers and directors of A Parent Media Co. Inc. ("Sponsor"), Realtime Media LLC ("Administrator") and their respective parent companies, affiliates, subsidiaries, advertising, contest, fulfillment and marketing agencies (involved in the Program are herein collectively referred to as the "Program Entities". Void where prohibited by law. All federal, state and local laws and regulations apply. By participating in this Program, you unconditionally accept and agree to comply with and abide by these "Terms and Conditions" and the decisions of Sponsor, including the interpretation of these Terms and Conditions, administration of the Program, and Sponsor's exercise of discretion, which will be final, non-appealable, and binding in all respects.

TIMING

The Program begins at or about 12:00 a.m. Central Time ("CT") on November 13, 2025 and ends at 11:59 p.m. CT on December 20, 2025 (the "Program Period"). The designated computer clock of the Sponsor is the official time-keeping device in the Program.

HOW TO PARTICIPATE

During the Program Period, visit victoryplus.com/txfootball (the "Website") and log in to your Victory+ account (or create a free account, if you do not already have one). Follow the on-screen instructions to register for the Program, including selecting your partner school (each, a "School") from the listing available at the Website. To participate in this Program, you will earn points by watching game content for your School. Once a School is selected, you cannot change Schools during the Program Period. You will earn the following points for your School by completing the activities set forth below:

All participants in this Program are prohibited from participating in any fraudulent or inappropriate means to complete actions. Minutes generated in any means which subvert or impair the integrity of the Program will be void. Sponsor shall have complete discretion in the determination of Actions and the criteria.

WINNING SCHOOL DETERMINATION

The winning schools will be determined based on Sponsor's calculation of total points earned by a School during the Program Period. The four (4) Schools with the highest points earned at the end of the Program Period will receive the following cash awards from the Sponsor:

• 1st Place: $50,000

• 2nd Place: $25,000

• 3rd Place: $15,000

• 4th Place: $10,000

In the event of a tie, Sponsor will apply a tie-breaker in a manner it deems fair and appropriate.

NOTE: All awards are paid directly to the School on behalf of the Sponsor. No individual who participates in this Program will receive any prize or award. Each winning School will be contacted by the Administrator to complete an award acceptance agreement. Each School must respond to the Administrator within three (3) days from the date of notification based on Administrator's timestamp. Failure to respond to any Program-related notification may result in forfeiture of the award.

LIMITATION OF LIABILITY

The Program Entities do not assume any responsibility for any disruption in the Program, including, but not limited to, the failure or interruption of any website or any internet service provider. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Program materials and these Terms and Conditions, these Terms and Conditions shall prevail, govern, and control. In the event Sponsor is prevented from continuing with the Program by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Program by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each, a "Force Majeure" event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Program. If, for any reason, the Program (or any part thereof) is not capable of running as planned for reasons which may include, without limitation, a Force Majeure event/occurrence, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Program, then the Program Entities reserve the right at their sole discretion to cancel, terminate, modify or suspend the Program in whole or in part.

By participating in this Program, you agree that the Program Entities and each of their respective affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers and each their respective officers, directors, stockholders, employees, representatives, designees and agents ("Released Parties") are not responsible for: (i) lost, late, damaged, incomplete, stolen, misdirected, or corrupted tracking of any action; (ii) any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability; (iii) garbled, corrupt or jumbled transmissions, service provider/network accessibility, availability or traffic congestion; (iv) any technical, mechanical, printing or typographical or other error; (v) the incorrect or inaccurate capture of a registration or an activity, or the failure to capture, or loss of, any such information; (vi) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to the Program; and (vii) any injury or damage, whether personal or property, to participants or to any person's computer related to or resulting from participating in the Program.

By participating in this Program you agree: (i) to be bound by these Terms and Conditions; (ii) to waive any rights to claim ambiguity with respect to these Terms and Conditions; (iii) to waive all of your rights to bring any claim, action or proceeding against any of the Released Parties in connection with the Program; and (iv) to forever and irrevocably agree to release and hold harmless each of the Released Parties from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability, costs and expenses (including, without limitation, reasonable attorneys' fees) that may arise in connection with: (a) the Program, including, but not limited to, any Program-related activity or element thereof, participation or inability to participate in the Program; (b) the violation of any third-party privacy, personal, publicity or proprietary rights; (c) human error; (d) any wrongful, negligent, or unauthorized act or omission on the part of any of the Released Parties; or (e) the negligence or willful misconduct by a participant.

PRIVACY POLICY

By participating in the Program, participant agrees to all of the terms and conditions of the Sponsor's Privacy Policy, which are available at https://aparentmedia.com/legal/privacy-policy.

CONDUCT

The Program Parties are not responsible for the actions of participants in connection with the Program, including any participant's attempts to circumvent the Terms and Conditions or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Program. The Program Parties reserve the right, at their sole discretion, to disqualify any individual who is found to be, or suspected of, acting in any manner deemed by the Program Parties to be in violation of the Terms and Conditions, or to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person, or to be tampering with the operation of the Program, and void all associated registrations and/or actions/points associated with such participant. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR OTHER INDIVIDUAL TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE PROGRAM PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW AND LIMITATION OF LIABILITY

All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions or the rights and obligations of participants, Sponsor or the Released Parties in connection with the Program will be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

MISCELLANEOUS

The invalidity or unenforceability of any provision of these Terms and Conditions will not affect the validity or enforceability of any other provision. In the event that any provision of the Terms and Conditions is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Terms and Conditions will not constitute a waiver of that provision. Participants agree to waive any rights to claim ambiguity of these Terms and Conditions. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Program-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Terms and Conditions, the Terms and Conditions shall prevail, govern and control and the discrepancy will be resolved in Sponsor's sole and absolute discretion.
